4. Client Responsibilities

4.1

The Client agrees to provide timely access, accurate information, required business assets, and reasonable cooperation necessary for Britemind to perform the agreed services.

4.2

The Client is solely responsible for the accuracy and legality of any information, branding, content, advertising materials, customer communications, or business data provided to Britemind.

4.3

Unless otherwise agreed in writing, the Client remains responsible for managing incoming leads, customer communications, appointments, estimates, sales, and business operations.

4.4

The Client agrees to comply with all applicable federal, state, and local laws governing their business and marketing activities.

5. Fees, Payments & Refunds

5.1

The Client agrees to pay all fees specified in the applicable proposal or service agreement.

Unless otherwise stated in writing, all payments are non-refundable.

5.2

Third-party expenses including software subscriptions, advertising costs, SMS charges, phone usage fees, email services, carrier fees, domain registrations, hosting, and similar expenses remain the Client's responsibility.

Wireless carriers are not responsible for delayed or undelivered messages.

5.3

Refunds, if approved, are granted solely at Britemind's discretion where services have materially failed to match the agreed scope of work.

6. Termination

6.1

This Agreement begins on the Service Date and remains active until completion or termination.

6.2

Britemind may immediately suspend or terminate services if:

• Payment remains outstanding for more than fifteen (15) days after written notice.

• The Client materially breaches these Terms.

• The Client engages in unlawful, abusive, fraudulent, unethical, or non-compliant business practices.

6.3

The Client may terminate services after satisfying any minimum contract period by providing thirty (30) days written notice and paying all outstanding balances.

7. Limitation of Liability

To the fullest extent permitted by law:

Britemind's total liability shall not exceed the total amount paid by the Client during the ninety (90) days preceding the event giving rise to the claim.

Britemind shall not be liable for:

• Lost profits

• Lost revenue

• Lost business opportunities

• Loss of goodwill

• Loss of data

• Business interruption

• Platform outages

• Third-party software failures

• Carrier interruptions

• Search engine algorithm changes

• Advertising platform policy changes

• Indirect, incidental, special, or consequential damages

We do not guarantee any specific business results, revenue increases, rankings, leads, appointments, or return on investment.

8. Indemnification

The Client agrees to defend, indemnify, and hold harmless Britemind LLC, its employees, contractors, affiliates, and partners against any claims, damages, liabilities, costs, or legal expenses arising from:

• The Client's business operations

• Client-provided content

• Violation of applicable laws

• Customer disputes

• Advertising claims

• Breach of these Terms

9. Governing Law

These Terms shall be governed by the laws of the District of Columbia, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts having jurisdiction within the District of Columbia.

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with any applicable proposal or service agreement, constitute the entire agreement between the parties.
